TERMS OF USE
PREAMBLE
These terms of use (the “Terms of Use”) define the methods of access and use of the Bikeflip website. Any user wishing to register on the Bikeflip website for the purpose of buying and selling bicycles and bicycle components must accept these Terms of Use during the account registration process. The user must also read and accept the Privacy Policy.
Bikeflip reserves the right to unilaterally modify and/or supplement these Terms of Use. Any changes will become effective once the updated version of this document is accessible through the website.
By accepting these Terms of Use and any subsequent amendments and/or supplements, the user agrees to fully comply with and abide by them.
These Terms of Use do not establish a partnership (regardless of its legal form) between Bikeflip and the users, nor do they give rise to employment relationships, relationships between a commercial agent and their client, or a franchising relationship.
If any provision of these Terms of Use is found to be invalid, ineffective, or unenforceable, such invalidity, ineffectiveness, or unenforceability shall not affect the validity, effectiveness, or enforceability of the remaining provisions of these Terms of Use.

WHAT IS BIKEFLIP
Bikeflip is a marketplace accessible via the website www.bikeflip.com (the “Website”), through which users may sell and/or purchase, from other users, bicycles and bicycle components, whether new, used or refurbished (the “Items”). Transactions may occur in B2B, B2C and C2C formats.
Bikeflip does not sell or purchase the Items displayed on the Website on its own behalf and is not a party to any transaction between Users.
WHO CAN SELL AND BUY ON OUR WEBSITE
Only users who register on the Website by creating an account with a valid email address and password (the “Account”) are permitted to sell and/or purchase Items and enter into transactions. Users under the age of 18 may only use the Website through an adult’s registration and under their supervision.
Users of the Bikeflip Website may include:
Private individuals and those acting as consumers pursuant to Directive 2011/83/EU on consumer rights and the corresponding national implementing legislation (“Consumer Users”);
Shops, retailers, companies, sole traders, non-profit organisations, and any other entities that trade Items in the course of their professional activity (“Business Users”). Business Users may choose to use Bikeflip’s shipping service (“Business Users Basic”) or to manage shipping
independently for each transaction (“Business Users Pro”).
Consumer Users and Business Users, whether Basic or Pro, are collectively referred to as the “Users”, and individually as a “User”.

ITEMS THAT MAY BE SOLD ON BIKEFLIP
The Items that may be sold and purchased on our Website include:
All types of bicycles (e.g. city bikes, mountain bikes, etc.);
Bicycle components and general parts (including, but not limited to: pedals, wheels, frames).
The following may not be sold:
Cycling clothing and any other apparel;
Cycling accessories and accessories for other sports activities.
Bikeflip reserves the right to amend the list of permitted Items at any time. Such amendments shall take effect once the updated version of this document is accessible via the Website.
Bikeflip shall monitor the Items offered for sale by Users and shall promptly remove any listings for Items that are not permitted under this clause.
SALE OF ITEMS THROUGH BIKEFLIP
To create a sales listing on the Website, the User must access it via their Account.
Once logged in, the User shall navigate to the “Sell” section and complete the relevant procedure, which includes:
Selecting the category of the Item, either “Bikes” or “Components”;
Entering a title for the listing, indicating the brand, model, year and condition of the Item. The title must not include any additional wording such as “offer”, “discounted price”, “last size available”, or “shipping via DHL”;
Providing general information about the Item;
Uploading up to 10 photographs of the Item in its entirety (in the case of bicycles, the first image must show the bike from the side), in original format and taken directly by the User. For example, non-original images and/or images downloaded from other platforms may not be used;
Providing a detailed description of the Item and its features, containing only the condition of the Item and the relevant level of wear.
The available condition categories for Items are as follows:
“New”: An Item that has never been used and is in its original packaging, or an Item without original packaging but showing no signs of use;
“Like new”: An Item in excellent condition, showing minimal or no signs of use. This category may also include Items restored to full functionality by replacing parts with new ones, provided they are free from defects. Items showing clear signs of wear may not be listed in this category;
“Used”: An Item that has been previously used and shows normal signs of wear. The listing description must accurately and objectively describe any visible signs of wear, including those on components;
“Refurbished”: This condition may only be selected by Business Users and refers to an Item that has been professionally restored to ensure functionality and reliability, including significant repairs or component replacements.
The Item description must not include, by way of example and without limitation, the User’s personal contact details (such as telephone number, email address, etc.), references to external websites (with or without links), or additional wording such as “bargain”, “offer”, etc.; the asking price; or the User’s contact information.
The User shall create truthful listings and provide a reliable description of the Item. Photographs of the Item must clearly and visibly reflect the actual quality and external appearance of the Item itself, as well as any defects or alterations concerning it. The User shall not upload to the Site photographs taken in unsuitable conditions (for example, in the dark).
In the event of any breach by the User of the aforementioned provisions relating to the listing, Bikeflip reserves the right to make the necessary modifications directly, notifying the User in writing by e-mail.
Bikeflip also reserves the right to immediately remove listings that, at its sole discretion, are deemed incomplete, non-compliant, untruthful and/or potentially fraudulent, as well as to deactivate the relevant User's Account.
In the event that a purchasing User exercises the return of an Item offered by a Business User due to the related listing being insufficiently informative or otherwise non-compliant with the Item, Bikeflip shall verify the conditions of the listing and, if confirmed, shall charge all return costs exclusively to the same Business User.
The User shall under no circumstances upload and/or enter on the Site content, expressions and/or photos and/or images considered immoral, contrary to common decency, discriminatory (including discrimination based on sex, race, religion, political opinions, personal or social conditions) and/or inciting illegal or violent behaviour and/or in any case likely to damage the reputation and/or honour of Bikeflip, of Users and/or third parties, or in any case capable of generating so-called “flaming” activities. In this regard, upon ascertaining the above circumstances, Bikeflip reserves the right to immediately remove the content produced by the User, as well as to delete the relevant Account, without prejudice to the right to claim compensation for any damage, including reputational damage.
In any case, the User shall indemnify and hold Bikeflip fully harmless from any claims and/or demands from third parties, including financial or punitive claims, arising from the breach of the provisions of this clause.
The User may publish their sales listing immediately, or save it as a draft and then modify and publish it at a later time.
The User may, at any time, modify their already published listing, as well as temporarily hide and/or remove it by changing the relevant settings in their Account.
The User authorises Bikeflip to publish the listings also on other third-party online platforms that manage the sale and purchase of items. In this regard, the User also authorises Bikeflip to reproduce the same contents of the listing (description, information, photographs, text, etc.) on other third-party online platforms, online or print magazines, social networks or other media, in order to further promote the listing itself, and undertakes to hold Bikeflip harmless from any liability or claim in this respect.
For Consumer Users: The creation and insertion of sales listings of Items on Bikeflip is free of charge for the Consumer User. Upon the sale of an Item by a Consumer User, Bikeflip shall apply a commission equal to 5% of the sale price of the Item (whether bicycles or components). The commission is automatically deducted from the payment made by the purchasing User at the time of purchase. The commission may have a minimum amount of EUR 1.00 (one/00) and a maximum amount of EUR 199.00 (one hundred and ninety-nine/00) for each sale.
For Business Users: Upon registering and creating an Account, the Business User selling an Item through Bikeflip may choose whether to make use of the shipping service directly managed by Bikeflip (“Business User Basic”), or to manage the shipping of the Item to the purchasing User independently (“Business User Pro”).
For Business Users Pro: The independent management of the shipping of the Item must always be previously approved by Bikeflip. To this end, the Business User who intends to independently manage the shipping process must contact Bikeflip via e-mail. Once the independent shipping management has been approved by Bikeflip, through the exchange of specific conditions in writing, the Business User Pro shall be directly and exclusively responsible for the entire management of the shipping process (from packaging to the actual delivery of the Item) and must provide both the purchasing User and Bikeflip, via e-mail, with the tracking link of the shipment. Furthermore, the Business User Pro who manages the shipment independently shall inform Bikeflip of the relevant shipping costs: Bikeflip shall approve such shipping costs and subsequently display them to Users in the corresponding section of each Item.
Bikeflip shall apply a service commission to such Business User Pro, which shall be determined on a case-by-case basis through specific agreements between Bikeflip and each Business User Pro. In any event, such commissions may range from a minimum amount of EUR 1.00 (one/00) to a maximum amount of EUR 500.00 (five hundred/00) for each sales transaction. No commission shall be applied to the purchasing User, who shall only pay the purchase price of the Item and the shipping costs applied by the Business User Pro seller.
Following the sale of each Item with shipping managed directly by the Business User Pro, Bikeflip shall transfer to the latter the total amount paid by the purchasing User, consisting of the sale price of the Item and the shipping costs applied by the Business User Pro, net of the service commission agreed with Bikeflip.
If, instead, the Business User chooses to sell an Item using Bikeflip’s Insured Shipping service (“Business User Basic”), a commission equal to 4.5% (four point five percent) of the sale price of the Item shall be applied. The commission shall be automatically deducted by Bikeflip from the total amount paid by the purchasing User. The commission may be in the amount of no less than EUR 1.00 (one/00) and no more than EUR 500.00 (five hundred/00) per sale. A service fee for Bikeflip’s Insured Shipping shall also be applied to the purchasing User, as outlined in the section “THE COST OF SAFE PURCHASE” of these General Terms and Conditions.

HOW ITEMS ARE PRESENTED ON BIKEFLIP
Sales listings are classified by Bikeflip into categories and subcategories and divided according to the type of Items and their respective characteristics.
Such listings are presented on the Site to Users according to the criteria selected by the latter. In particular, Users may filter the sales listings by indicating their preferences within the “Filters” section of the Site, where it is possible to choose among various characteristics of the Items (for example: brand, model, price, condition, size, year of production, colour, gender).
The search filters will differ depending on the type of Items selected by the Users. The search may only be saved and modified if the Users log into the Site via their Account.
Listings are automatically ordered based on the criteria and filters selected by the Users.
Listings are valid for a period of 4 (four) months from the date of publication and are automatically deactivated by Bikeflip after this period, unless the User confirms the continuation of their validity by responding to the verification requests automatically sent by Bikeflip via e-mail shortly before the end of the 4 (four) months.
HOW TO PURCHASE ITEMS THROUGH BIKEFLIP
To purchase Items through Bikeflip, the User must log into the Site using their Account and select the desired Item by clicking on the relevant sales listing.
The User may proceed with the purchase of the Item by contacting the seller directly through the dedicated section and obtaining further information on the Item, its price, and the shipping and delivery methods, or may purchase the Item securely by using Bikeflip’s services as specified below.
The management of purchases made through direct contact between Users and without using Bikeflip’s Safe Purchase service remains entirely and exclusively the responsibility of the Users themselves.
The User intending to purchase an Item may submit a purchase offer at a price different from the one stated in the listing, by clicking on the relevant section in the listing “Make an offer”. In this regard, the seller User may accept to sell the Item at a lower price.
Offers are not subject to expiry and remain valid until the seller User has accepted, rejected, or amended them with a counteroffer. Offers shall not be considered binding for the purchasing User until the seller User has accepted them by clicking the “accept the offer” button.
Once the offer has been accepted by the seller User, the purchase of the Item shall be subject to the terms of these General Terms and Conditions.
To proceed with the purchase via Bikeflip’s services, the purchasing User must click the “Buy safely” button and complete the relevant procedure.
THE BIKEFLIP “BUY SAFELY” SERVICE
Bikeflip offers a service that allows Users to protect their purchases through a secure payment method and insured shipping of the Items (“Buy Safely”). Buy Safely is not an insurance policy or a legal protection service, but a service provided by Bikeflip. It does not replace Users’ legal rights or warranties.
Safe Purchases
To use the Buy Safely service, the purchasing User must select the corresponding option at the time of purchase by clicking the “Buy Safely” button. The selling User must accept the purchase proposal from the purchasing User as specified in the section “HOW BUYING AND SELLING WORKS WITH BUY SAFELY” of these General Terms and Conditions.
Payment for the Item shall be made through the Site, by credit or debit card, or via PayPal or any other payment method that may be introduced from time to time. The funds shall not be transferred immediately to the selling User, but only after the purchasing User has received and accepted delivery of the Item
The User shall be entitled to request a full or partial refund if:
the Item received differs significantly from that described in the relevant sales listing;
the Item received is damaged, defective or broken (and such conditions were not disclosed in the listing);
the Item is not delivered.
Within 48 (forty-eight) hours of receiving the Item, the purchasing User may report any of the above issues to Bikeflip by accessing the “Purchases & Sales” section on the Site and clicking on “report a problem”. In this section, the User must indicate the subject of the request, a description of the issue encountered, and the details for any potential return of the Item to the selling User.
Bikeflip shall suspend the transaction in favour of the selling User until the issue is resolved, and will contact the purchasing User using the e-mail address provided during Account registration, in order to verify the validity of the claim.
An Item shall be considered damaged, defective or broken if it presents a clear aesthetic, technical and/or functional defect such that it renders the Item inconsistent with or unsuitable and/or unsafe for the use legitimately expected by the User.
Minor damage, such as superficial scratches or signs of normal wear and tear including, by way of example, worn tyres, worn brake pads, or other circumstances related to the overall condition of the Item even if not clearly visible in the photos of the published listing nor described in the Item description shall not be considered valid grounds for any claim by Users.
An Item shall be considered significantly different from the one described in the relevant sales listing if it presents material characteristics (including gender, dimensions, colours, models) that differ and affect the use and appearance of the Item as legitimately expected by the purchasing User based on the description and photographs included in the listing.
Minor and/or insignificant discrepancies shall not be deemed valid for the purposes of this return policy.
In any case, the User intending to submit a claim for non-conformity or an issue with the Item must provide Bikeflip with suitable photographic or video material from which Bikeflip can promptly identify the defect, non-conformity and/or issue reported by the User. A simple repair estimate from a specialised workshop shall not be considered sufficient for the assessment of the User’s claim.
The relevant material must be sent to Bikeflip within and no later than 4 (four) days from the submission of the claim, to the following e-mail addresses: ciao@bikeflip.com, hi@bikeflip.com and hallo@bikeflip.com.
The User may not in any case proceed with any autonomous repair/restoration of the Item prior to Bikeflip’s confirmation of the claim. Violation of this prohibition shall result in the claim being closed and not processed by Bikeflip.
Bikeflip shall verify the circumstances of the User’s claim through consultation with a team of mechanics and/or specialists who will assess the condition of the Item. The selling User must actively cooperate with Bikeflip and provide all information relating to the Item as requested for the resolution of the claim raised by the purchasing User.
If Bikeflip, at its sole discretion, confirms the claim, it shall cancel the transaction and send the purchasing User a pre-paid return shipping label to return the Item to Bikeflip, which shall then return it to the selling User. The purchasing User shall receive a full refund via the same payment method used for the original transaction.
If 48 hours pass from the delivery of the Item without the purchasing User reporting any issue, the Item shall be considered definitively accepted and the related price shall be transferred by Bikeflip to the selling User’s Virtual Wallet and, subsequently, to their bank account.
Users agree to comply with the claims procedures set out in these Terms of Use and to cooperate with Bikeflip to enable it to make the best possible decisions in relation to any claims and/or issues, based on the objective criteria established in these General Terms and Conditions.
In this regard, Bikeflip shall not be held liable for the Item during the claim verification phase.
Secure Payments
Payments made through the Site are processed by Bikeflip in collaboration with Stripe. Stripe is a payment processing service that allows transactions via credit cards, debit cards, PayPal, or any other payment method linked to an IBAN bank account. Bikeflip does not directly handle payment data: all such data is processed securely and in full compliance with applicable regulations by Stripe.
Selling Users must set up their virtual wallet on the Site to receive payments securely (the “Wallet”), by following the relevant procedure.
Once the transaction is completed, the sale price of the Item shall be transferred to the selling User’s Wallet and subsequently to the User’s bank account linked to the Virtual Wallet.
Bikeflip supports its Users in using the Wallet and provides related assistance. Users must provide accurate information associated with credit cards, debit cards, and any other payment method offered on the Site.
Without prejudice to transactions already in progress, Bikeflip reserves the right to suspend and/or discontinue, with separate notice where possible, the availability of any service for commercial and/or technical reasons.
Insured Shipping
The shipping of Items purchased using the Buy Safely option shall be fully managed by Bikeflip, using trusted couriers and at the purchasing User’s expense.
Insured shipping will be managed by Bikeflip differently depending on whether the sold Item is a bicycle or a frame, or a component.
For bicycles and frames: Within 4 (four) working days from the acceptance of the purchase by the selling User, Bikeflip will provide the seller with a sturdy, customised packaging for each Item, in order to ensure its safe transport. Bikeflip will deliver the packaging to the address indicated by the selling User. The selling User will be able to schedule the collection of the packaged Item through the Site upon confirmation of the sale, and Bikeflip will provide, via the Site (in the user’s personal sale area) and by e-mail to the address given by the User at checkout, a prepaid shipping label. The User must print and securely attach the label to the packaging. If the selling User fails to ship the Item within 7 (seven) days from the receipt of the packaging—due to their own fault and not due to causes beyond their control—the sale will be considered cancelled by Bikeflip and the purchasing User will be refunded accordingly. The pickup of the packaged bicycle from the seller’s address may take place from 4 (four) working days after the pickup booking by the seller, provided that the seller has obtained the packaging from Bikeflip within that timeframe. The pickup shall be handled directly by Bikeflip through its appointed courier.
It is understood that Bikeflip shall not be held liable for any issues arising from the seller's failure to follow Bikeflip’s packaging instructions, nor for any damage to the Item resulting from improper packaging attributable to the seller.
For components: Packaging of components is the responsibility of the selling User.
Within 3 (three) days from the confirmation of the sale by the seller, Bikeflip will send the prepaid shipping label to the selling User via the Site (in their personal sale area) and by e-mail to the address provided at checkout. The selling User is solely and entirely responsible for the packaging and must do so carefully, using suitable and appropriate materials for shipping, ensuring maximum safety during transport of the Item. It is understood that Bikeflip shall not be held liable for any issues arising from the seller's failure to comply with packaging instructions. The seller must deliver the packaged component to the designated drop-off point indicated by Bikeflip at the time the prepaid label is provided, within and no later than 7 (seven) days. Failure to comply with this deadline will result in Bikeflip cancelling the sale and issuing a refund to the purchasing User.
Once the Item has been shipped, the purchasing User may track the delivery status using the Shipping Tracking System accessible via the dedicated link on the Site. The Shipping Tracking System reflects only the tracking information provided by the courier responsible for the parcel.
In the event of loss of the Item, Bikeflip will cancel the payment transaction and refund the purchasing User in full. The selling User will receive compensation for the price of the Item, unless the loss is attributable to them.
Bikeflip shall only manage the shipping of Items that have been purchased exclusively through the Buy Safely procedure on the Site. Under no circumstances shall Bikeflip handle the shipping of Items sold through private agreements between Users via the private chat function and which Bikeflip had no knowledge of until the request for collection and/or shipping.
THE COST OF BUYING SAFELY
For the Buy Safely service, Bikeflip shall apply to the purchasing User a commission fee that varies depending on the nature of the transaction, the category of the purchased Item, and the classification of the selling User from whom the Item is purchased.
Purchase of bicycles from a Consumer selling User: In the event of the purchase of a bicycle from a Consumer selling User, Bikeflip shall apply to the purchasing User a service fee equal to 4% (four percent) of the sale price of the Item. The commission may range from a minimum of EUR 60.00 (sixty/00) to a maximum of EUR 199.00 (one hundred and ninety-nine/00) per purchase. The total amount due from the purchasing User for the Item—including the service fee and any applicable shipping costs—shall be calculated and displayed at the time of payment and before the completion of the transaction.
Purchase of bicycles from a Business User managing their own shipping (Pro):
In the case of the purchase of a bicycle from a Business User Pro, who has opted to manage the shipping independently, Bikeflip shall not apply any commission to the purchasing User.
However, the purchasing User shall be required to pay the shipping costs specified by the Business User Pro, which shall be automatically displayed by Bikeflip during the purchase and payment process directly on the Site.
Purchase of bicycles from a Business User using Bikeflip’s insured shipping service (Base): In the case of the purchase of a bicycle from a Business User Base, who has chosen to use Bikeflip’s Insured Shipping service, Bikeflip shall apply to the purchasing User a service fee equal to 2% (two percent) of the sale price of the Item.The commission may range from a minimum of EUR 1.00 (one/00) to a maximum of EUR 250.00 (two hundred and fifty/00) per purchase.The total amount due from the purchasing User for the Item—including the service fee and any applicable shipping costs—shall be calculated and displayed at the time of payment and before the completion of the transaction.

Purchase of components from a Consumer selling User:In the event of the purchase of a component from a Consumer selling User, Bikeflip shall apply to the purchasing User a service fee equal to 4% (four percent) of the sale price of the Item.The commission may range from a minimum of EUR 10.00 (ten/00) to a maximum of EUR 250.00 (two hundred and fifty/00) per purchase.The total amount due from the purchasing User for the purchase of the Item—including the service fee and any applicable shipping costs—shall be calculated and displayed at the time of payment and before the completion of the transaction.
Purchase of components from a Business User managing their own shipping (Pro):In the case of the purchase of a component from a Business selling User who has opted to manage the shipping independently, Bikeflip shall not apply any commission to the purchasing User.
However, the purchasing User shall be required to pay any shipping costs indicated by the Business selling User, which shall be communicated automatically on the Site at the time of payment and prior to the completion of the transaction.
Purchase of components from a Business User using Bikeflip’s insured shipping service (Base):In the case of the purchase of a component from a Business selling User who has chosen to use Bikeflip’s Insured Shipping service, Bikeflip shall apply to the purchasing User a service fee equal to 2% (two percent) of the sale price of the Item.
The commission may range from a minimum of EUR 1.00 (one/00) to a maximum of EUR 250.00 (two hundred and fifty/00) per purchase.
The total amount due from the purchasing User for the purchase of the Item—including the service fee and any applicable shipping costs—shall be calculated and displayed at the time of payment and before the completion of the transaction.

The above-mentioned fees shall be deducted by Bikeflip directly from the payment made by the purchasing User.
The provisions set out above are established to facilitate secure, transparent, and structured transactions within the Bikeflip Site, ensuring protection and reliability for all parties involved.
The amount of each applicable fee and any shipping costs shall be specified in euros in the purchase order summary for each Item, which is viewable by the purchasing User prior to completing the payment.
The cost of the Bikeflip Buy Safely service is always inclusive of VAT.
It is understood that Bikeflip shall not in any way be considered involved in purchases made outside the Site and disclaims all liability arising from or related to such transactions.
HOW BUYING AND SELLING WORKS WITH BUY SAFELY
Once the purchasing User has selected the Item, they will be taken to the order summary page, where the following details will be displayed: (i) reference information for the Item, (ii) the total cost, including: (i) the price of the Item, (ii) shipping costs, and (iii) the applicable fees for the Buy Safely service. By clicking “Next”, the User will be redirected to Stripe to process the payment.
Once the payment is completed, Bikeflip will contact the selling User with the purchase proposal. The selling User shall have 48 hours to either accept or reject the proposal. If accepted, the seller must indicate via a dedicated form on the Site the details for collection of the Item and the proposed pickup date.
If 48 hours pass without the selling User accepting the purchase proposal, it shall be considered as rejected.
The shipping procedure for the Item varies depending on whether the Item is a bicycle or a component. In this regard, reference is made to the “Insured Shipping” section under the paragraph “THE BIKEFLIP BUY SAFELY SERVICE” in these General Terms and Conditions.
In all cases, the selling User undertakes to strictly follow the packaging instructions. It is understood that Bikeflip shall not be held liable for any issues arising from failure to comply with such packaging instructions.
If no complaint is raised by the purchasing User within 48 hours of delivery of the Item, Bikeflip shall transfer the price of the Item to the selling User’s Virtual Wallet and subsequently to their bank account.
The purchasing User may cancel their purchase proposal at any time before the selling User has accepted it. In this case, Bikeflip will notify the selling User, who may then contact the purchasing User via the Site’s chat system. If no agreement is reached between the Users regarding the purchase proposal, Bikeflip will issue a full refund to the purchasing User.
The selling User may refuse the sale of their Item within and no later than 48 hours from receiving the purchase proposal. In such a case, Bikeflip will inform the purchasing User and fully refund the payment made.
A User purchasing through the Site using the Buy Safely service shall enter into two separate agreements: (i) a sales agreement with the selling User and (ii) a service agreement with Bikeflip.
Both the purchasing User and the selling User acknowledge that the Buy Safely procedure establishes a legally binding agreement between them as soon as the seller’s acceptance is received by the purchasing User.
The User making use of Buy Safely acknowledges and agrees to enter into a legally binding agreement with Bikeflip in compliance with and subject to these Terms of Use.
USER CHAT ON THE SITE
The Bikeflip chat system available on the Site is solely intended to allow Users to exchange information regarding Items, both before and after the relevant purchase.
Users shall not send via the Site's chat system:
advertising messages;
spam or content that spreads viruses or so-called “worms”;
bulk mailing messages of any kind;
messages containing texts contrary to public safety and decency, inappropriate, offensive and/or defamatory content, and/or otherwise unlawful material aimed at causing harm of any kind to other Users and/or third parties.
In such cases, Bikeflip reserves the right to delete the User’s Account from the Site and to remove any sales listings associated with it, without prejudice to the right to claim compensation for any resulting damages.
LIABILITY
All Users are fully responsible for the information they publish on the Site as well as for the Items they offer and sell to other Users through the Site.
Users acknowledge and agree that they are fully responsible for any Item uploaded to the Site, including its description, photographs, and any other information and characteristics published on the Site, as well as for any statements made to other Users, including private messages via the chat system and reviews.
Users are solely responsible towards other Users for any disputes that may arise between them, except in cases where such disputes are caused by Bikeflip’s failure to comply with its obligations in connection with the Buy Safely service.
In any case, Bikeflip’s potential liability shall not exceed the price of the Item listed on the Site.
Users acknowledge and agree that Bikeflip shall in no event be held liable for any damages and/or losses suffered by other Users and/or third parties in connection with the Items, or as a result of any breach by Users of these Terms of Use.
In particular, and by way of example but not limitation, Bikeflip shall in no case be held liable for:
(i) the safety, quality, and quantity of the Items sold or purchased by Users through the Site, nor for their compliance with the description and photographs provided; (ii) the actions or omissions of Users; (iii) the adequacy, accuracy, completeness and/or lawfulness of any content produced by Users on the Site; (iv) any issue relating to transactions, except as expressly provided in these Terms of Use as the responsibility of Bikeflip; (v) the packaging used by selling Users for the shipment of components; (vi) shipments and related management carried out independently by Business selling Users who do not use Bikeflip’s insured shipping service; (vii) the sale and purchase of Items outside the Bikeflip Buy Safely system and/or agreed privately between Users.
Users must use the Site appropriately and comply with all laws, rules, and regulations applicable to them.In particular, Users must refrain from: (i) infringing the rights of third parties, including intellectual property rights; (ii) offering for sale items that violate laws or regulations; (iii) inciting the commission of crimes and/or acts based on discrimination, hatred or violence due to race, ethnicity, or nationality;(iv) communicating false or confidential information; (v) publishing content or reviews that are defamatory, offensive, unlawful or otherwise contrary to public order; (vi) publishing the personal data of other individuals or violating their privacy.
Bikeflip acts solely as an intermediary between Users.
If a User reports to Bikeflip inappropriate behaviour by another User, Bikeflip may assist the affected party. Where required, Bikeflip will also cooperate with local authorities.
Bikeflip is not responsible for content created by Users. Users remain solely and exclusively responsible for their respective content. Therefore, they acknowledge and accept that Bikeflip has no contractual obligation to verify the content or the Items listed, and under no circumstances shall it be held liable for any damage and/or losses suffered by Users and/or third parties in relation to such content or Items. In this regard, Bikeflip will remove from the Site any unlawful content that is properly reported by Users and/or third parties.
If an Item presents any issues related to product safety or quality, Bikeflip shall not be held liable in any way and advises Users to immediately cease using the Item in question.
Bikeflip is not responsible for any tax liabilities or reporting obligations that may arise for Users as a result of activities carried out through the Site. Users are solely responsible for any tax reporting obligations arising under applicable law.
In accordance with applicable laws and regulations, Bikeflip adopts all appropriate measures to protect the security of the data provided by Users and to ensure that the services offered do not compromise the data and software stored on Users’ computers, tablets, or smartphones.
However, despite implementing appropriate measures in line with legal requirements, Bikeflip’s systems may still be affected by unforeseeable events such as cyberattacks or security breaches relating to data transmission or impacting the volume and speed of data transmission.
In this regard, Users must adopt all appropriate measures to protect their own data and/or software, particularly against contamination by any viruses circulating on the internet.
The Site, and the information and content contained therein, are provided by Bikeflip without warranties of any kind.
Bikeflip (and its agents, affiliates, licensees, and suppliers) disclaims all warranties, express and/or implied, including, without limitation, all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Under no circumstances shall Bikeflip (or any of its agents, affiliates, licensees, or suppliers) be liable for any indirect, punitive, incidental, special or consequential damages arising out of or in any way connected to the use of the Site, the publication of Item listings, or the Buy Safely service, including, without limitation, damages arising from the use of the Site by unauthorised Users and/or Users not in compliance with these Terms of Use, third-party claims relating to any violations of third-party rights, inaccessibility or interruptions of the Site, or issues related to the network, phone lines, or the malfunctioning and/or faulty operation of Users’ electronic equipment.
USER OBLIGATIONS
Users agree to fully comply with these Terms of Use and, in any case, with the following rules regarding the use of the Website:
§ Upon registration to the Website, to provide truthful information about themselves (including, by way of example, their name and email address) and/or their business activity;
§ To register on the Website only once and not to create more than one Account unless:
(i) the User wishes to have both a personal and a Business Account; in such case, the User may not register using the same email address, and both Accounts must be clearly separated the personal Account may not be used for commercial sales and vice versa; (ii) a third party has unlawfully accessed the User’s Account; in such case, the User may only create a new Account after notifying Bikeflip of the unauthorised access and only once Bikeflip has blocked the original Account;
Not to use the Website to engage in unlawful or fraudulent actions or transactions;
To provide objective, correct, complete, and detailed information and pricing regarding the Items;
To have the right to transfer ownership of the Items offered for sale;
Not to copy content or information appearing on the Website and uploaded by Bikeflip or other Users;
Not to use the content or information on the Website for unlawful purposes;
Not to offer, sell, purchase, and/or transfer Items in violation of third-party intellectual property rights, such as registered trademarks and/or other signs to the extent protected by applicable law (e.g. business identifiers in certain jurisdictions), design rights and/or copyright;
Not to infringe the property rights and/or personal rights of third parties (including intellectual property rights);
Not to violate applicable laws and/or regulations, or act against public order and/or accepted standards of morality;
Not to use (particularly by sharing and/or publishing) software and/or files containing viruses, or that may:
(i) disrupt the normal functioning of the Website and/or Services,
(ii) infect Users’ computers and thereby cause loss and/or damage to other Users, third parties, or Bikeflip;Not to offer, share, or otherwise promote links to other websites and/or companies offering services similar to those provided by Bikeflip and the Website;
Not to engage in data mining, screen scraping, or crawling of any part of the Website;
Not to disassemble, decompile, or reverse-engineer any part of the Website;
Not to adapt, copy, alter, modify, distribute, or commercialise any Content from the Website.
Users also agree not to collect, simultaneously hold, transmit to third parties, publish or disclose Users' data or data related to User activity on the Website, including transaction data (e.g. quantity, type, price, etc.).
Users further undertake not to collect, simultaneously hold, transmit to third parties, publish, or disclose information displayed on the Website if doing so could harm the rights of other Users, including but not limited to intellectual property or privacy rights. This restriction does not apply to the “share” feature on the Website, which allows Users to share public information from the Website and send it to themselves or others.
The User undertakes to keep their Account login details and password confidential and not to disclose them to third parties. The User is solely responsible for all activity carried out through their Account.
The User also undertakes to promptly update any information on the Website that is no longer current or accurate, including information related to the Items or provided during registration and within their Account.
By using the Website, the User declares:
(i) to be a natural person aged 18 or over (otherwise, the parent or legal guardian must register on their behalf and supervise the minor’s use of the Website); (ii) to have full legal capacity and all rights necessary to carry out transactions on the Website;
to be aware of and fully responsible, under these Terms of Use and applicable law, for fulfilling their obligations in relation to the sale and purchase of Items;
to be aware of their obligation to pay Bikeflip the applicable service fees.
In the event of one or more violations of the rules set out in this clause, Bikeflip reserves the right to immediately remove the User’s Account from the Website, without prejudice to its right to claim compensation for any damages suffered.
LEGAL WARRANTIES
Bikeflip does not sell or purchase Items on its own behalf and is not a party to any transaction between Users. Therefore, Bikeflip provides no warranty in relation to the Items bought and sold through the Website.
The selling User, whether a Consumer User or a Business User, shall be solely responsible for any material defects and/or faults in the Item sold and shall be required to provide the purchasing User with all warranties required under the applicable laws, as well as any additional contractual warranties, if applicable.
If the transaction involves the purchase of an Item by a Consumer User from a Business User, the provisions set out in the General Terms and Conditions of Sale for B2C transactions shall apply, available at the following link: […].
PROCESSING OF PERSONAL DATA
As the data controller, Bikeflip undertakes to process Users’ personal data, provided during registration and use of the Website, in accordance with Regulation (EU) 2016/679, Legislative Decree No. 196/2003, and, more generally, with the applicable legislation on personal data protection.

INTELLECTUAL PROPERTY
Bikeflip is the owner of all intellectual property rights relating to the Website, including, in particular, its system, layout and design, the software used by and for the Website, and the trademarks and domain names used by and for the Website.
By submitting information or data—particularly photographs—or other materials and content to the Website, Users grant Bikeflip a worldwide, royalty-free, non-exclusive licence to use such content for the duration of the applicable rights (and any extensions thereof). This licence includes the right to use, copy, reproduce, display, and adapt such content. Bikeflip may use such content, on any media now known or hereafter developed, for operational, commercial, advertising and internal purposes, which the User accepts. It is understood that the User remains solely responsible for the submitted content and confirms that they hold all the necessary rights thereto.
Subject to applicable data protection laws, Bikeflip may transfer and/or assign to third parties all rights and obligations under these Terms of Use, in particular in the event of a transfer of a business unit, a merger by the creation of a new company, a merger by incorporation, a demerger, or any change of control involving Bikeflip, provided that such transfer does not reduce consumer protection. Such transfer shall release Bikeflip from all future obligations in its role as operator of the Website, particularly with respect to its Users and visitors.
In the event that Bikeflip transfers and/or assigns its rights and obligations under these Terms of Use to third parties, it shall inform the Users of such transfer and/or assignment, and Users shall have the right to immediately terminate their contractual relationship with Bikeflip and close their Account.
Users may not transfer or assign any of their rights or obligations under these Terms of Use.
APPLICABLE LAW AND DISPUTE RESOLUTION
These Terms of Use are governed by Italian law.
In the event of a dispute between the User and Bikeflip, Users are encouraged to first contact Bikeflip in order to attempt an amicable and consensual resolution.
In any case, any dispute between Users and Bikeflip shall fall under the exclusive jurisdiction of the Court of Milan.
TAX OBLIGATIONS AND DATA REPORTING UNDER DIRECTIVE 2011/16/EU (DAC7)
In accordance with Directive 2011/16/EU (DAC7), as amended by Directive 2021/514/EU, Bikeflip is required to collect and report certain information to the competent tax authorities regarding sellers and the income generated through the Website.
Therefore, Users who sell Items via Bikeflip may be required to provide additional tax information, including their name, residential or legal address, tax identification number, details of the transactions carried out, and any other information subsequently requested by Bikeflip.
Failure by any User to provide the requested information after two reminders sent by Bikeflip will result in restrictions on the use of the platform, including deletion of the Account and the inability to re-register.
By acknowledging and accepting these Terms of Use, each User consents to the collection and transmission of such data, where required by applicable legislation, in the manner and form indicated by Bikeflip from time to time.
GENERAL TERMS AND CONDITIONS OF B2C SALE
These General Terms and Conditions of B2C Sale apply to sales made via the Website by Business Users to Consumer Users, in addition to the Terms of Use..
In the event of any inconsistencies between the Terms of Use and these General Terms and Conditions of B2C Sale, the latter shall prevail with regard to purchases made between Consumer Users and Business Users.
RIGHT OF WITHDRAWAL
Pursuant to Directive 2011/83/EU on consumer rights and the applicable national consumer protection laws, a Consumer User purchasing from a Business User may exercise the right of withdrawal within 14 days from the day following the delivery of the Item. If the deadline falls on a Saturday, Sunday or public holiday, it is extended to the next working day.
This right of withdrawal does not apply if the purchased Item falls under one of the legal exceptions.
To exercise the right of withdrawal, the Consumer User must notify the Business User in writing, including by using the withdrawal form set out in Annex 1. The withdrawal notice must also be simultaneously sent to Bikeflip. Any costs incurred by Bikeflip due to delays in the transmission of the withdrawal notice shall be borne by the Consumer User.
Following the exercise of the right of withdrawal, the Consumer User must return the Item to the Business User without undue delay and, in any event, no later than 14 days from the day on which the withdrawal decision was communicated in accordance with the above provisions. Return shipping costs shall be borne by the Consumer User, unless otherwise agreed with the Business User.
The Business User shall refund the price of the Item to the Consumer User within 14 (fourteen) days of receiving the returned Item, provided it is in the same condition as when it was sold. The refund shall be made using the same payment method used for the purchase.
LEGAL WARRANTIES
The Consumer User benefits from the legal warranty of conformity, which the Business User is required to provide under applicable law in respect of each Item.
The legal warranty protects the Item against non-conformity with the sales contract.
According to the law, in the event the legal warranty applies, the Consumer User shall be entitled to have the Item brought into conformity free of charge by means of repair or replacement, or, where this is not possible, to a price reduction or termination of the contract. The Business User shall be liable for any non-conformities that appear within two years of the delivery date of the Item.
The Consumer User must report any non-conformity within two months of discovering the defect.
The Business User remains solely responsible for the sale of Items and must handle any complaints and/or issues relating to or arising from the contract with the Consumer User, including the fulfilment of any legal warranty obligations.
APPLICABLE LAW AND JURISDICTION
Purchases made by the Consumer User under these General Terms and Conditions of B2C Sale shall be governed by the law of the Consumer User’s country of residence.
Any dispute arising from the aforementioned contracts shall fall under the exclusive jurisdiction of the courts of the Consumer User’s place of residence.

Below is a description of the methods by which personal data is processed, either automatically collected or voluntarily provided, during navigation and use of the website www.bikeflip.com (the “Website”) and the “Bikeflip” mobile application (the “App”) by their users (the “Users”).
Bikeflip is a marketplace platform through which Users may interact with each other, as part of a community, to sell or purchase bicycles and/or their components (the “Services”).
DATA CONTROLLER
The Data Controller is Bikeflip S.r.l., with its registered office at Piazza della Manifattura 1, Rovereto (TN), 38068, Italy, tax code and VAT number 02606780225, registered with the Companies Register of Trento under number TN-236930 (hereinafter referred to as the “Company”, “Bikeflip”, or the “Controller”).
TYPES OF DATA PROCESSED
To allow the use of the Website, the App and their Services, the Controller may need to collect and process the following personal data relating to Users:
(i) Browsing Data
Whenever Users access the Website and the App, the IT systems and software procedures used for their operation automatically acquire, during normal activity, access and browsing data, such as: information about the browser used by the User, the operating system of the device used to access the Services, pages visited, date, time and duration of each visit, as well as other parameters relating to the User’s IT environment.
(ii) Data voluntarily provided by the User for account creation and access to Services
The App and the Website also collect the personal data required for the User to register—via the appropriate registration form—create an account, and access the Services.
In particular:
Identification data, such as first name, surname, business name, nationality, residential or registered address, tax identification number or other fiscal identifier, User’s billing address;
Store data, such as name, company name, VAT number, billing address;
Contact data, such as email address and phone number;
Payment data, such as purchase details, date and time, purchase history, payment methods (including bank name, BIC/SWIFT, IBAN, credit card, bank transfer), bank account number used to receive payments, total amount received and number of transactions carried out, as well as any personal data contained within communications between the User and the Controller relating to the products purchased.
Transaction data processed in connection with the use of the Services and payment method data (IBAN, card number, banking details, etc.) will be processed—as independent data controllers—by Stripe Technology Europe Ltd or Stripe Payments Ltd, the payment service provider with which Bikeflip has entered into an agreement to offer payment services via the App.
Bikeflip will not access or have visibility of such data, nor will it determine in any way the purposes or means of their processing by the payment provider.
(iii) Data acquired via Cookies
Cookies are used on the Website and allow for the processing of additional personal data collected during navigation. Information on how such data is processed can be found in the dedicated [cookie policy].
Browsing Data, Data voluntarily provided by the User for account creation and access to Services, and Data acquired via cookies shall hereinafter be collectively referred to as the “Personal Data”.
3. PURPOSES, LEGAL BASIS FOR PROCESSING AND NATURE OF DATA PROVISION
The Personal Data provided by the User will be used exclusively for the following purposes:
Bikeflip will process Personal Data to allow the User to create an account and access the Services, as well as to carry out related activities. The legal basis for processing Personal Data for these purposes is the performance of a contract to which the User is a party. The provision of Personal Data is mandatory. Failure to provide such data will make it impossible to access the Services.
Personal Data may be processed to enable Bikeflip to contact Users for individual communications related to the existing contractual relationship and/or to conduct satisfaction surveys. The legal basis for such processing is the legitimate interest of the Company in maintaining and strengthening the human and professional relationships established with Users, including by providing ongoing assistance and support in the use of its Services. This legitimate interest is balanced by the Users’ own interest in receiving such support and solutions tailored to their needs, and in the broader context of improving the Services offered. The Controller believes that the sending of such communications does not infringe the rights and freedoms of the data subjects.
Personal Data may be processed to respond to and follow up on enquiries sent by Users to Bikeflip through the email addresses and contact forms available on various sections of the Website. The legal basis for this processing is the Controller’s legitimate interest in pursuing its business activities and responding to Users’ requests. This legitimate interest has been duly balanced with the reasonable expectations of the data subjects. Since such processing is carried out in response to a User’s explicit request and does not adversely affect the rights of the data subject, it is considered to prevail. The provision of Data for these purposes is necessary for the correct handling and execution of the User’s request. Failure to provide such Data, in whole or in part, will prevent the Controller from fulfilling the request.
Bikeflip collects and processes Personal Data provided by Users to send newsletters and allow them to benefit from this service, including receiving commercial offers, promotions and communications regarding Bikeflip products. The legal basis for this processing is the User’s consent.
Users may withdraw their consent and unsubscribe from the newsletter at any time by clicking the “unsubscribe” link, entering their email address in the appropriate form and clicking the “unsubscribe” button. Alternatively, Users may send a specific request to the Controller via the contact details provided in the “Data Subjects’ Rights” section, expressing their intention to unsubscribe from the newsletter and have their data deleted. Withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal. Provision of Personal Data for this purpose is optional. Refusal to provide such data will prevent the User from receiving the newsletter.The Company will process Personal Data to comply with its legal obligations, including tasks arising from national or EU laws and regulations, such as Directive (EU) 2021/514 ("DAC7"). The legal basis for such processing is compliance with a legal obligation.
The Company will process Personal Data for the purpose of legal defence in connection with any disputes that may arise with the User following the creation of an account and the use of the Services. The legal basis for such processing is the Company’s legitimate interest in legal defence, which does not override the rights and freedoms of the data subjects. The processing is limited to data that does not fall under the special categories referred to in Article 9 of the GDPR and is necessary to exercise a right that is constitutionally protected for the Controller.
Personal Data will also be processed to monitor the proper functioning of the Website, and to enable the Controller to make improvements and resolve technical issues. This data is collected automatically via the User’s connection to the Website. Partial or total refusal to provide such data will prevent the Controller from properly managing the functioning and maintenance of the Website.
4. DATA RETENTION PERIOD
The Data Controller intends to retain Personal Data for no longer than is necessary to achieve the purposes for which the data was collected and processed.
For the purposes referred to under letters a) and b) of paragraph 3, Personal Data will be retained for a maximum period of 10 years from the deletion of the account or the termination of the contractual relationship between the User and the Company, as applicable, in accordance with statutory limitation periods.
For the purpose referred to under letter c) of paragraph 3, the Company will retain the Personal Data for as long as necessary to handle the User’s request and, in any case, no longer than the statutory limitation periods applicable to contractual or extra-contractual claims, where communications between the User and Bikeflip are necessary for the purpose of legal protection.
For the purpose referred to under letter d) of paragraph 3, the Company will retain the Personal Data for a maximum of 24 months from the date on which consent was given to receive the newsletter. One month before the expiry of this period, Bikeflip will ask the User whether they wish to continue receiving such communications: if the User declines, the relevant Personal Data will be deleted; if the User agrees, the data will be retained and processed for a further 24-month period.
For the purpose referred to under letter e) of paragraph 3, Personal Data will be processed for the entire period required under national, international, and EU laws to which Bikeflip is subject.
For the purpose referred to under letter f) of paragraph 3, Personal Data will be retained in accordance with the statutory limitation periods applicable to contractual or extra-contractual claims.
For the purpose referred to under letter g) of paragraph 3, Personal Data will be retained for as long as is necessary to resolve any bugs or malfunctions on the Website, and for the entire period required by applicable laws to which Bikeflip is subject.
With regard to data collected through cookies, the retention periods are specified in the [cookie policy].
5. CATEGORIES OF DATA RECIPIENTS
The Personal Data processed will not be disclosed to third parties. However, it may be accessed by employees, shareholders, and/or collaborators of the Data Controller, duly instructed and authorised to process the data (for example, IT department employees).
Furthermore, third parties providing services to the Company may have access to Personal Data (e.g. IT service providers for database management, cloud and/or file transfer service providers, IT consultants, and payment service providers such as Stripe Technology Europe Ltd or Stripe Payments Ltd, to enable purchase payments via the App and the Website).
Where these third parties do not act as independent data controllers, they have been appointed as data processors under a specific data processing agreement. A list of such data processors is available upon request from the Controller.
Any further disclosure or dissemination of Personal Data will occur only with the explicit consent of the User.
6. TRANSFER OF PERSONAL DATA TO THIRD COUNTRIES
The Data Controller does not transfer Personal Data outside the European Union.
Should such a transfer become necessary for the purposes outlined in paragraph 3 of this Privacy Notice, the Controller will carry out the transfer only to recipients located in countries for which the European Commission has issued an adequacy decision, or by adopting the appropriate safeguards pursuant to Article 46 of the GDPR.

As a data subject, the User has the rights provided for under Articles 12–23 of the GDPR.
